These Terms of Service (“Terms”) govern your access to and use of gauntlet.gallery, including all pages, features, products, services, checkout functions, content, communications, and transactions offered through the website (collectively, the “Site”). The Site is operated by Gauntlet Gallery, also referred to in these Terms as “Gauntlet Gallery,” “we,” “us,” or “our.”

By visiting the Site, creating an account, subscribing to communications, submitting information, placing an order, requesting authentication, booking an art advisory consultation, or otherwise using any part of the Site, you agree to be bound by these Terms, together with our Privacy Policy, Shipping Policy, Refund Policy, COA Guarantee, Customs Policy, and any other policy or notice posted on the Site.

If you do not agree to these Terms, do not use the Site or place an order.


1. About Gauntlet Gallery

Gauntlet Gallery is an online gallery and curated marketplace specializing in contemporary art, signed collectibles, cultural artifacts, designer toys, music memorabilia, space memorabilia, and related collector-grade pieces.

Our inventory may include, among other categories, limited-edition prints, signed prints, one-of-one works, framed works, signed music items, authenticated space memorabilia, BE@RBRICK figures, KAWS-related collectibles, Death NYC works, Shepard Fairey / OBEY-related works, and works or collectibles associated with artists, brands, musicians, athletes, estates, studios, or cultural properties.

Unless expressly stated otherwise, Gauntlet Gallery is an independent seller and curator. We are not the official website, agent, representative, licensee, sponsor, or affiliate of any artist, brand, musician, estate, foundation, studio, auction house, authentication company, blockchain provider, shipping carrier, or rights holder whose name, image, work, product, or mark may appear on the Site.

References to artists, brands, estates, musicians, companies, trademarks, or cultural properties are used for identification, description, provenance, authentication, search, categorization, and resale purposes.


2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Site, place an order, submit an item, or book a paid service.

By using the Site, you represent and warrant that:

  1. You are at least 18 years old.

  2. You have the legal capacity to agree to these Terms.

  3. The information you provide is accurate, complete, and current.

  4. Any payment method you use is authorized and legally available to you.

  5. You will not use the Site for fraud, money laundering, sanctions evasion, counterfeit activity, unlawful resale, harassment, scraping, or any illegal purpose.

We may refuse service, cancel orders, close accounts, restrict access, or request additional verification at any time if we believe your activity creates risk to Gauntlet Gallery, our customers, payment processors, shipping partners, authentication partners, or the integrity of the marketplace.


3. Product Listings and Availability

Many items sold by Gauntlet Gallery are unique, limited, vintage, signed, editioned, discontinued, artist-released, secondary-market, or one-of-one pieces. Availability is not guaranteed until an order is accepted and payment is fully received.

We make reasonable efforts to display accurate product information, including title, artist or associated creator, edition size, edition number, dimensions, medium, framing status, condition, COA status, provenance notes, authentication status, estimated shipping timeline, and other relevant details.

However, product listings may contain typographical errors, pricing errors, technical errors, outdated information, incomplete information, image variation, or other inaccuracies. We reserve the right to correct any error, update any listing, reject any order, or cancel any order at any time, including after checkout, if we determine that a listing contained an error or that the product is no longer available.

If your order is canceled after payment has been captured, we will issue a refund to the original payment method.


4. Product Images, Color, Framing, and Display

We work to provide accurate photography and descriptions. However, product images may vary based on lighting, screen settings, camera settings, reflections, glare, acrylic, glass, frame depth, matting, display environment, and post-processing.

Unless expressly included in the product description, frames, mats, acrylic, glass, wall hardware, display stands, plaques, certificates, packaging, props, lighting, and background items shown in photographs are not included.

For framed works, minor variations in frame finish, mat alignment, acrylic surface, hardware, mounting, or presentation may occur. Vintage, secondary-market, and previously handled pieces may show age-consistent wear.

By purchasing, you acknowledge that condition descriptions are made in good faith and may include subjective terminology such as excellent, very good, good, fair, vintage condition, light wear, handling marks, edge wear, corner wear, surface marks, or display wear.


5. Pricing, Taxes, Promotions, and Offers

All prices are listed in U.S. dollars unless otherwise stated.

Prices may change at any time without notice. Promotional pricing, discount codes, private offers, email offers, SMS offers, bundle offers, cart offers, and limited-time campaigns may be modified, refused, or withdrawn at any time.

Discounts generally cannot be combined unless expressly stated. Promotional offers may be limited by customer, product category, order value, time period, inventory availability, or geographic region.

We collect sales tax where required by applicable law. You are responsible for any taxes, duties, VAT, import fees, customs charges, brokerage fees, carrier fees, or other charges not collected at checkout.

For international orders, listed prices do not include import duties, VAT, customs fees, brokerage fees, or destination-country taxes unless expressly stated at checkout.


6. Payment

We may accept major credit cards, debit cards, PayPal, Apple Pay, Google Pay, Shop Pay, Shopify Payments, wire transfer, and other payment methods made available at checkout.

For high-value orders, international orders, first-time buyers, orders shipping to freight forwarders, orders with mismatched billing and shipping details, or orders that trigger fraud-risk indicators, we may require additional verification before processing. Verification may include identity confirmation, billing confirmation, address confirmation, payment confirmation, wire transfer, signed authorization, or other reasonable anti-fraud measures.

For orders over $5,000, wire transfer may be available by request. Wire-transfer orders are not reserved until funds are received and cleared unless we agree otherwise in writing.

You agree not to initiate a chargeback, payment reversal, or payment dispute without first contacting us at info@gauntlet.gallery and giving us a reasonable opportunity to resolve the issue. This does not limit any rights you may have under applicable payment-network or consumer-protection rules.


7. Order Acceptance and Cancellation

An order confirmation email means we received your order. It does not guarantee acceptance of the order.

We reserve the right to accept, reject, cancel, refund, or partially fulfill any order for any reason, including suspected fraud, pricing error, product unavailability, shipping restrictions, address issues, payment issues, duplicate orders, inventory errors, compliance concerns, or risk to Gauntlet Gallery.

If we cancel an order after payment has been captured, we will refund the amount charged for the canceled portion of the order.

Once an order has been packed, shipped, authenticated, customized, framed, transferred, or prepared for high-value shipment, cancellation may no longer be available.


8. Authenticity and Attribution

Gauntlet Gallery represents that, to the best of our knowledge and based on available provenance, seller history, documentation, market research, physical inspection, third-party authentication where obtained, and category-specific authentication practices, the items we sell are authentic as described.

Authenticity support may vary by item and may include one or more of the following:

  1. Gauntlet Gallery Certificate of Authenticity.

  2. Artist-issued certificate.

  3. Publisher-issued certificate.

  4. Gallery-issued certificate.

  5. Edition documentation.

  6. Signature review.

  7. Provenance records.

  8. Prior sale records.

  9. Auction records.

  10. Third-party authentication.

  11. Blockchain certificate.

  12. NFC tag or digital certificate.

  13. Serial number, edition number, hologram, stamp, seal, plaque, or other identifying marker.

  14. Category-specific documentation from providers such as Beckett, JSA, PSA/DNA, Zarelli Space, Verisart, TrueCOA, OneCOA, ScoreDetect, or other services where applicable.

Not every item will include every form of documentation. The documentation included with a specific item will be described on the relevant product page or invoice.

Attribution language matters. Terms such as “by,” “signed by,” “after,” “attributed to,” “style of,” “studio of,” “circle of,” “related to,” “featuring,” “licensed,” “official,” “vintage,” “limited edition,” “open edition,” “artist proof,” “printer’s proof,” “H/C,” “AP,” or similar phrases have specific market meanings and should be read carefully in the context of each listing.

If a product page states that a piece includes a third-party certificate, the certification is issued by that third-party provider, not by Gauntlet Gallery. We are not responsible for a third-party authenticator changing its opinion, modifying its database, updating its standards, experiencing downtime, or altering its certification practices after purchase.

Unless expressly stated in writing, Gauntlet Gallery does not represent that any Banksy-related work is Pest Control authenticated.


9. COA Guarantee Program

Certain items may be covered by the Gauntlet Gallery COA Guarantee. Where applicable, the COA Guarantee provides the authenticity remedy described in the separate COA Guarantee policy posted on the Site.

If a piece covered by the COA Guarantee is later proven inauthentic under the standards and process described in that policy, the remedy may include a refund of the purchase price plus any additional premium expressly stated in the COA Guarantee.

The COA Guarantee applies only to authenticity. It does not guarantee future market value, resale value, investment performance, liquidity, auction acceptance, grading outcome, framing condition, third-party platform acceptance, or future collector demand.

To make a claim under the COA Guarantee, you must follow the claim process described in the COA Guarantee policy and provide requested documentation, including photographs, purchase records, certificate records, and any third-party authentication or rejection documentation.

The COA Guarantee is void if the item has been materially altered, damaged, restored, modified, separated from its certificate, separated from its identifying marks, tampered with, reframed in a manner that affects verification, transferred without records, or otherwise compromised after delivery.


10. Blockchain Certificates and Digital Records

Some items may include a blockchain certificate, digital certificate, NFC certificate, QR-linked certificate, or other digital authenticity record through providers such as TrueCOA, Verisart, OneCOA, ScoreDetect, Polygon, or similar platforms.

Blockchain or digital certificates are intended to support ownership records, provenance records, authentication records, or transaction records. They are not a substitute for physical inspection, expert authentication, or responsible custody of the physical item.

If a blockchain certificate is minted or transferred to your wallet, you are responsible for maintaining access to that wallet, private keys, seed phrases, passwords, devices, and related accounts. We are not responsible for lost keys, compromised wallets, transfer mistakes, unsupported wallets, network congestion, blockchain forks, smart-contract failures, gas fees, third-party platform outages, or other blockchain-related events outside our control.

If a certificate is held in a Gauntlet Gallery custody wallet or administrative account pending your claim, we may require identity verification before releasing or transferring the certificate.

Ownership of a digital certificate does not necessarily equal ownership of the physical item unless the physical item has also been sold, paid for, and delivered or otherwise transferred under the applicable sale terms.


11. No Investment, Financial, Legal, or Tax Advice

Gauntlet Gallery may discuss artist history, cultural relevance, scarcity, edition size, comparable sales, auction history, market trends, resale demand, collector interest, display value, and similar topics.

This information is provided for general educational, curatorial, and commercial purposes only. It is not investment advice, financial advice, legal advice, tax advice, appraisal advice, or a guarantee of future value.

Art, collectibles, signed memorabilia, designer toys, and cultural artifacts are speculative, illiquid, subjective, and market-dependent. Values may rise, fall, or disappear. Past sale prices do not guarantee future results.

You are responsible for conducting your own due diligence and consulting appropriate professional advisors before purchasing, reselling, insuring, donating, importing, exporting, financing, or treating any item as an investment asset.


12. Shipping

Shipping terms are governed by our Shipping Policy, which is incorporated into these Terms.

We may ship through UPS, FedEx, USPS, DHL, freight providers, art handlers, insured carriers, or other logistics partners depending on the item, destination, value, size, framing status, fragility, insurance requirements, and delivery risk.

Shipping estimates are estimates only. Delivery dates are not guaranteed unless expressly stated in writing.

For high-value orders, we may require signature confirmation, adult signature, insurance, address verification, restricted delivery, delivery appointment, or other protective measures.

You are responsible for providing a complete, accurate, and deliverable shipping address. We are not responsible for delays, returns, losses, or fees caused by incorrect addresses, missing apartment numbers, refused deliveries, unclaimed packages, inaccessible delivery locations, customs delays, carrier errors, weather, strikes, force majeure events, or circumstances outside our control.

If an item is returned to us because of an incorrect address, failed delivery, refusal, customs nonpayment, or failure to claim, you may be responsible for additional shipping, insurance, storage, customs, return, and reshipment costs.


13. Risk of Loss and Title

Title to a purchased item transfers to you only after full payment has been received and cleared.

For customer protection, high-value shipments may be insured during transit. Risk of loss generally transfers upon confirmed delivery to the shipping address, signature by the recipient or an adult at the address, pickup from a carrier location, or delivery according to the carrier’s tracking records, whichever occurs first.

If tracking shows delivery but you claim nonreceipt, you must notify us promptly so we can investigate with the carrier. We may require a signed statement, police report, carrier affidavit, photographs, or other documentation to support an insurance claim.

You agree to cooperate reasonably with any carrier investigation, insurance investigation, fraud review, or loss claim.


14. International Orders, Customs, Import Duties, and Export Restrictions

International buyers are responsible for all duties, VAT, GST, import taxes, customs fees, brokerage fees, carrier fees, local delivery charges, and destination-country compliance requirements.

We cannot mark merchandise as a gift, undervalue customs declarations, misstate the contents, alter invoices, or provide false customs information.

International shipments may be delayed, inspected, opened, assessed, taxed, seized, returned, or rejected by customs authorities. We are not responsible for customs delays or destination-country restrictions.

Some items may be restricted for export or import based on country, material, age, cultural-property rules, sanctions, embargoes, intellectual-property concerns, or other laws. We may refuse or cancel international orders if we believe shipment may violate applicable law or carrier policy.

If an international shipment is returned because duties, taxes, customs charges, or import requirements were not satisfied, the buyer may be responsible for outbound shipping, return shipping, customs charges, insurance, storage, and other related costs.


15. Returns and Refunds

Returns are governed by our Refund Policy, which is incorporated into these Terms.

Unless otherwise stated in the Refund Policy or on the product page, eligible items may be returned within 14 days from delivery. Returned items must be in the same condition as received, with all certificates, packaging, plaques, documentation, accessories, tags, labels, NFC tags, blockchain references, and included materials.

Items that are damaged, altered, reframed, restored, separated from certificates, missing documentation, missing packaging, or otherwise not returned in the same condition may be refused or subject to a reduced refund.

Refunds are generally issued to the original payment method after we receive and inspect the returned item. Processing times may vary based on payment provider and bank processing.

Shipping fees, insurance fees, customs fees, duties, VAT, import fees, payment-processing fees, wire fees, and special handling fees may be nonrefundable unless required by law or expressly stated in the Refund Policy.

Final-sale items, custom-framed items, special orders, sourced-on-request items, commissioned items, private-sale items, layaway payments, authentication services, advisory fees, and digital certificate services may be nonrefundable if clearly identified as such before purchase.


16. Shipping Delays and Unavailable Items

We make reasonable efforts to ship within the time stated on the product page, checkout page, order confirmation, or Shipping Policy. If no shipping time is stated, we will make reasonable efforts to ship within a commercially reasonable period.

If we cannot ship within the stated time frame, we may contact you with an updated estimate, offer a substitute where appropriate, request consent to the delay, or cancel and refund the order.

For one-of-one, rare, vintage, high-value, framed, internationally shipped, or specially packaged items, additional handling time may be required.


17. Authentication, Art Advisory, and Consultation Services

Gauntlet Gallery may offer art advisory, authentication support, collector consultation, sourcing, portfolio review, market research, resale strategy, or related services.

Unless expressly stated in writing, these services are advisory only and do not guarantee purchase eligibility, resale price, auction acceptance, insurance value, investment return, authentication outcome, grading outcome, or third-party platform approval.

Authentication support does not replace the independent judgment of a recognized third-party authenticator. We may decline to evaluate or accept any item for any reason.

If you submit images, documents, provenance records, or item information to us, you represent that the information is accurate and that you have the right to share it.

You agree not to submit forged documents, counterfeit items, stolen goods, misleading provenance, altered certificates, false ownership claims, or infringing materials.


18. Consignment, Private Sales, and Sourcing

Any consignment, private sale, brokered sale, sourcing request, or special acquisition arrangement must be governed by a separate written agreement.

No consignment, agency relationship, fiduciary relationship, partnership, or exclusive representation is created unless expressly agreed in a signed writing by Gauntlet Gallery.

If we help source a specific item for you, additional terms may apply, including deposit requirements, final-sale terms, buyer verification, nonrefundable research fees, inspection limitations, third-party seller risk, authentication timing, and shipping risk.


19. Accounts

You may be able to create an account on the Site. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

You agree to notify us promptly if you believe your account has been accessed without authorization.

We may suspend, restrict, or terminate accounts that we believe are associated with fraud, chargebacks, harassment, abusive conduct, scraping, bot activity, counterfeit submissions, payment risk, or violation of these Terms.


20. Email, SMS, and Marketing Communications

By providing your email address, you may receive transactional emails related to orders, shipping, account activity, customer service, returns, authentication, advisory services, or other business communications.

If you opt into marketing emails, you may receive newsletters, product drops, collector previews, promotions, back-in-stock alerts, educational content, or other marketing messages. You may unsubscribe from marketing emails at any time using the unsubscribe link in the email or by contacting us.

If you opt into SMS or text messages, you consent to receive text messages from Gauntlet Gallery at the phone number you provide. Messages may include product alerts, abandoned-cart reminders, order updates, promotions, collector previews, back-in-stock alerts, and customer-service messages. Message frequency may vary. Message and data rates may apply. Consent is not a condition of purchase.

You may opt out of marketing texts by replying STOP, or using any other opt-out method provided in the message. You may request help by replying HELP or contacting info@gauntlet.gallery.

We may use service providers such as Shopify, Klaviyo, Postscript, Attentive, Omnisend, or similar platforms to send email and SMS communications. Your use of those communications may also be subject to the applicable provider’s terms and privacy practices.


21. User Content, Reviews, Submissions, and Messages

If you submit reviews, photographs, testimonials, product questions, comments, messages, provenance information, item images, social media tags, or other content to Gauntlet Gallery, you grant us a nonexclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, display, distribute, edit, publish, and promote that content in connection with our business, Site, advertising, social media, email, SMS, product pages, and marketing.

You represent that your submitted content is accurate, lawful, noninfringing, and does not violate the rights of any third party.

We may remove, edit, reject, or refuse to publish any user content at our discretion.

You may not submit content that is false, defamatory, harassing, obscene, infringing, fraudulent, misleading, malicious, unlawful, or designed to manipulate reviews or deceive customers.


22. Intellectual Property

The Site and its content, including logos, trade names, page designs, photographs, videos, graphics, product copy, descriptions, category pages, blog posts, educational content, layout, code, button text, branding, certificates, icons, collection names, and overall trade dress, are owned by or licensed to Gauntlet Gallery and are protected by copyright, trademark, trade dress, and other laws.

You may not copy, scrape, reproduce, distribute, frame, mirror, sell, license, modify, create derivative works from, or commercially exploit any Site content without our prior written permission.

Purchasing a physical item from Gauntlet Gallery gives you ownership of that physical item only. It does not transfer copyright, trademark rights, reproduction rights, commercial display rights, licensing rights, merchandising rights, publicity rights, moral rights, derivative-work rights, or any other intellectual-property rights unless expressly stated in a signed writing by the applicable rights holder.

Artists, estates, foundations, publishers, brands, studios, licensors, and rights holders retain their respective intellectual-property rights.


23. Prohibited Uses

You agree not to:

  1. Use the Site for unlawful, fraudulent, deceptive, abusive, or harmful purposes.

  2. Submit false, forged, stolen, altered, or misleading provenance, certificates, signatures, or ownership records.

  3. Purchase items using stolen payment credentials or unauthorized payment methods.

  4. Use bots, scrapers, crawlers, automated purchasing tools, or data-harvesting systems.

  5. Interfere with checkout, inventory, pricing, authentication, or Site security.

  6. Probe, scan, reverse-engineer, exploit, or attack the Site or its infrastructure.

  7. Impersonate another person or misrepresent your identity.

  8. Violate intellectual-property rights, privacy rights, publicity rights, or contractual rights.

  9. Resell items using false claims about Gauntlet Gallery, our guarantees, or our relationship to artists or brands.

  10. Submit counterfeit items for authentication, consignment, resale, advisory review, or private sale.

  11. Circumvent purchase limits, geographic restrictions, fraud controls, or payment controls.

  12. Harass, threaten, defame, abuse, or intimidate Gauntlet Gallery, our employees, contractors, partners, customers, sellers, or service providers.

  13. Use the Site in a way that could damage our reputation, business, systems, or customers.

Violation of this section may result in order cancellation, account termination, refusal of service, legal action, and referral to law enforcement where appropriate.


24. Third-Party Services

The Site may integrate with or link to third-party services, including Shopify, Shopify Payments, PayPal, Shop Pay, Apple Pay, Google Pay, Klaviyo, analytics providers, advertising platforms, Hotjar, Meta, Google, TikTok, Pinterest, UPS, FedEx, USPS, DHL, TrueCOA, ScoreDetect, Polygon, Verisart, OneCOA, Beckett, JSA, PSA/DNA, Zarelli Space, and other payment, shipping, marketing, analytics, authentication, blockchain, or technology providers.

We do not control third-party services and are not responsible for their availability, accuracy, security, downtime, data practices, fees, errors, policies, authentication decisions, certification decisions, or service changes.

Your use of third-party services may be governed by their own terms, privacy policies, and fees.

Links to third-party websites are provided for convenience only and do not imply endorsement.


25. Privacy

Our collection, use, storage, sharing, and protection of personal information is described in our Privacy Policy.

By using the Site, you agree that we may process your information as described in the Privacy Policy, including for order processing, fraud prevention, payment processing, shipping, customer service, marketing, analytics, personalization, authentication, and legal compliance.


26. Disclaimers

Except as expressly stated in our COA Guarantee or required by law, the Site, products, services, content, and communications are provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, noninfringement, uninterrupted operation, error-free operation, future value, investment performance, resale value, auction acceptance, grading outcome, authentication outcome by a future third party, and suitability for any particular use.

We do not guarantee that the Site will be secure, uninterrupted, accurate, complete, current, or free from errors, malware, or harmful components.

We do not guarantee that any item will appreciate in value, retain value, sell at a profit, be accepted by a specific auction house, be approved by a specific marketplace, be insurable at a particular value, or receive a particular grade or authentication result in the future.


27. Limitation of Liability

To the maximum extent permitted by law, Gauntlet Gallery and its owners, officers, employees, contractors, agents, affiliates, vendors, service providers, and partners will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, loss of resale opportunity, loss of business, loss of data, loss of goodwill, emotional distress, or reputational harm, arising out of or related to your use of the Site, any product, any service, any delay, any third-party service, or these Terms.

To the maximum extent permitted by law, our total liability for any claim arising out of or related to a product, order, service, or transaction is limited to the amount you paid to Gauntlet Gallery for the specific product or service giving rise to the claim.

This limitation does not reduce any greater remedy expressly provided under the COA Guarantee for covered authenticity claims.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.


28. Indemnification

You agree to defend, indemnify, and hold harmless Gauntlet Gallery and its owners, officers, employees, contractors, agents, affiliates, vendors, service providers, and partners from and against any claims, liabilities, damages, losses, costs, expenses, fees, penalties, and reasonable attorneys’ fees arising out of or related to:

  1. Your breach of these Terms.

  2. Your misuse of the Site.

  3. Your violation of applicable law.

  4. Your violation of third-party rights.

  5. Your submission of false, forged, stolen, misleading, infringing, or unlawful materials.

  6. Your fraudulent, abusive, or unauthorized conduct.

  7. Your resale, marketing, or representation of any item purchased from us in a misleading or unlawful manner.

We reserve the right to control the defense of any matter subject to indemnification. You agree to cooperate with us in defending such claims.


29. Force Majeure

We are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, fire, flood, earthquake, severe weather, war, terrorism, civil unrest, labor disputes, supply-chain disruptions, carrier delays, customs delays, government action, pandemics, power outages, internet outages, payment-processor outages, cyberattacks, blockchain network failures, authentication-provider delays, or other events outside our control.


30. Governing Law

These Terms and any dispute arising out of or related to these Terms, the Site, or any purchase are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

If any consumer-protection law of your state or country applies and cannot be waived, these Terms do not limit rights that cannot legally be limited.


31. Dispute Resolution, Arbitration, and Class Action Waiver

Before filing a claim, you agree to first contact us at info@gauntlet.gallery and attempt to resolve the dispute informally. The parties will attempt in good faith to resolve the dispute for 30 days after written notice.

If the dispute is not resolved informally, the dispute will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except where prohibited by law or where an exception in this section applies.

The arbitration will be conducted in New York, New York, unless the parties agree to a remote proceeding or another location. The arbitration will be conducted by a single arbitrator. The arbitrator may award the same individual relief that a court could award, subject to these Terms.

You and Gauntlet Gallery agree that disputes will be resolved only on an individual basis. You waive any right to bring, join, or participate in a class action, collective action, consolidated action, private attorney general action, or representative action to the maximum extent permitted by law.

You may opt out of this arbitration agreement within 30 days of your first purchase by emailing info@gauntlet.gallery with the subject line “ARBITRATION OPT-OUT” and including your name, order number if applicable, email address, and a clear statement that you opt out of arbitration.

The following claims may be brought in court instead of arbitration:

  1. Claims that qualify for small claims court.

  2. Claims seeking injunctive relief for intellectual-property misuse, scraping, counterfeiting, fraud, or unauthorized Site access.

  3. Authenticity claims where the COA Guarantee expressly allows a court claim.

  4. Claims that applicable law does not allow to be arbitrated.


32. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date above.

Material changes may be posted on the Site, emailed to registered users, or otherwise communicated where appropriate.

Your continued use of the Site after updated Terms are posted means you accept the updated Terms.

The version of the Terms in effect at the time of your purchase generally governs that purchase, except where a later update is required by law or expressly accepted by you.


33. Termination

We may suspend or terminate your access to the Site, account, communications, or services at any time if we believe you violated these Terms, created risk, engaged in fraud, abused our services, submitted counterfeit or misleading materials, violated the rights of others, initiated improper chargebacks, or otherwise harmed Gauntlet Gallery or our customers.

Sections that by their nature should survive termination will survive, including provisions related to authenticity, intellectual property, payment obligations, prohibited conduct, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and prior transactions.


34. Severability

If any part of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable, if possible.


35. No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.


36. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, financing, restructuring, change of control, corporate transaction, or transfer of business operations.


37. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Refund Policy, COA Guarantee, Customs Policy, and any product-specific terms posted on the Site, constitute the entire agreement between you and Gauntlet Gallery regarding the Site and purchases from us.

They supersede all prior or contemporaneous communications, proposals, representations, and understandings, whether oral or written, regarding the same subject matter.
